Current practice
Priscilla is a partner in the Head Office Advisory Team (HOAT) of Freehills, Melbourne.
She specialises in advising the corporate head offices of listed public companies on a range of Corporations Act and ASX Listing Rule issues, including:
- Director and Senior Executive remuneration issues, including advising in relation to long term incentive/equity compensation plans, service agreements and related disclosure issues.
- ASX Listing Rule compliance, including shareholder approval requirements for remuneration grants and continuous disclosure obligations.
- Corporate disclosure requirements, including remuneration reports, annual reports and other periodic reporting requirements.
- AGMs, including preparation of notices of meeting, liaising with regulators and shareholder groups, advising on procedures for conducting meetings and dealing with voting at meetings.
- Corporate Governance, including advising as to directors’ duties and liability, indemnity and insurance issues, and developing Board policies on conflicts of interests, dealings in securities and charters for various Board committees.
- Capital management initiatives.
Priscilla is a member of the Australian Institute of Company Directors’ Law Committee, Chartered Secretaries Australia’s Legislative Review Committee and the Law Council of Australia’s Corporations Committee. Priscilla is also a regular commentator in the media on executive remuneration and other corporate governance issues.
She works with major listed public company clients including Telstra, Toll, Transurban, Bendigo and Adelaide Bank, Myer and Suncorp Metway.
Prior to focussing on “head office advisory” issues, Priscilla’s principal area of practice was Mergers & Acquisitions and in addition to her time at Freehills, she spent time working in London with Allen & Overy and on secondment at Telstra Corporation Limited.
Experience
Some of the matters Priscilla has managed or been closely involved with include:
- acting for Telstra, Toll, Suncorp Metway, Myer, Oceana Gold, IOOF and Centro in relation to executive service agreements
- acting for Toll, Bendigo and Adelaide Bank, Transurban, SP AusNet and AXA Asia Pacific Holdings in relation to their executive and employee incentive arrangements
- drafting constitutions and dividend reinvestment plans for Toll, Myer and Telstra
- acting for numerous listed companies in relation to their continuous disclosure obligations, annual reporting requirements and annual general meetings
- acting for Wesfarmers Limited on the sale of Landmark to AWB Limited.
Professional background
Priscilla graduated from Monash University in 1995 with a Bachelor of Laws (Hons) and a Bachelor of Arts.
Priscilla was admitted in Victoria in 1997, and in England and Wales in 2000.
